Shareholders

BATS Theatre Ltd became a public company in October 1993. At the same time the share capital of $10000 was split into 1000000 one cent shares. Shares then became available for one cent with a $99.99 premium (therefore they cost $100), to reflect the true nature of the scheme which is a means to make a donation. The income from share sales are lodged in the BATS Share Trust account, to be administered by the BATS Theatre Charitable Trust which came into existence late in 1996.

The over-riding intention is for the Charitable Trust to augment the trust fund by seeking corporate donations, building the fund to a level where BATS gains financial independence from government funding and to permanently secure a home for BATS in Wellington.

Co-operatives are obliged in their BATS Performance Agreement to purchase one share if they reach over 60% paying audience over their season. Under the company structure, Annual General Meetings are held and shareholder involvement is encouraged. Under BATS Theatre Ltd's Constitution, shareholders are precluded from taking profits by on-selling the shares. Any such profits must be lodged back in the BATS Share Trust.
